Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tax Property Inc., a Delaware corporation ("TaxProperty," "we," "us," or "our"), governing your access to and use of the website located at https://www.taxproperty.com and all associated services, features, content, and applications (collectively, the "Service").
By accessing or using the Service, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
TaxProperty provides a software-as-a-service (SaaS) platform that aggregates and presents tax deed and tax lien auction data for real estate investors and professionals. The Service includes property data search and browsing, saved property collections, data export functionality, and related tools designed to support tax sale investment research and decision-making.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
3. User Accounts
To access certain features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at team@taxproperty.com of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
4. Subscription Plans and Pricing
4.1 Plans
The Service is offered under a freemium model with the following plans: (a) "Basic" — a free plan providing access to property data, favorites, and currency conversion; and (b) "Pro" — a paid subscription plan providing additional features including custom folders, CSV data exports, and all Basic plan features.
4.2 Pricing
The Pro plan is available at $29.00 per month (monthly billing) or $249.00 per year (annual billing). All prices are in United States Dollars (USD). We reserve the right to change pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the change.
4.3 Free Trial
New accounts are eligible for a 14-day free trial of the Pro plan. No credit card is required to start the trial. At the end of the trial period, your account will automatically revert to the Basic plan unless you subscribe to the Pro plan.
4.4 Payment Processing
All payments are processed securely through Stripe, our third-party payment processor. By subscribing to the Pro plan, you agree to Stripe's terms of service. We accept major credit and debit cards (Visa, Mastercard, American Express, Discover). All transactions are encrypted and PCI-compliant.
5. Billing and Renewal
5.1 Automatic Renewal
Pro subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You authorize us to charge your payment method on file for the applicable subscription fee upon each renewal.
5.2 Failed Payments
If a payment fails, we may attempt to charge your payment method again. If payment cannot be collected, we reserve the right to suspend or downgrade your account to the Basic plan.
6. Cancellation and Refund Policy
6.1 Cancellation
You may cancel your Pro subscription at any time from your account settings. Upon cancellation, you will retain access to Pro features through the end of your current billing period. After the billing period expires, your account will revert to the Basic plan. There are no cancellation fees.
6.2 Refunds
Subscription fees are generally non-refundable. We do not provide refunds or credits for partial billing periods, downgrade mid-cycle, or unused features. However, if you experience a significant technical issue that prevents you from using the Service and we are unable to resolve it, you may request a refund by contacting us at team@taxproperty.com within 7 days of the charge. Refund requests will be reviewed on a case-by-case basis at our sole discretion.
6.3 Free Trial.
If you cancel during the 14-day free trial, you will not be charged. No refund is necessary as no payment is collected during the trial period.
7. Promotional Codes and Affiliate Program
From time to time, we may offer promotional codes, discounts, or referral programs. Promotional codes are subject to specific terms communicated at the time of the offer, are non-transferable, may not be combined with other offers, and may be revoked at any time. Abuse of promotional codes or referral programs may result in account suspension or termination.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Scrape, crawl, or use automated means to access or collect data from the Service without our prior written consent.
- Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service.
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service for commercial purposes without our express written permission.
- Transmit any viruses, malware, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Service to engage in any fraudulent, deceptive, or misleading activity.
- Share, redistribute, or sublicense your account access or any data obtained through the Service to third parties, except as expressly permitted.
9. Intellectual Property
9.1 Our Property
The Service, including all content, features, functionality, software, design, text, graphics, logos, and trademarks, is owned by Tax Property Inc. and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license to use the Service as described herein.
9.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non- exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.
9.3 Data Ownership
The compilation, organization, and presentation of data on the Service is proprietary to TaxProperty. While underlying government records may be public, the aggregated dataset, search functionality, and analytical tools constitute our proprietary work product.
10. Data Accuracy Disclaimer
While we strive to provide the most accurate and up-to-date tax deed and lien data available, TaxProperty does not guarantee the accuracy, completeness, timeliness, or reliability of any data or information provided through the Service. Data is sourced from public records and government agencies, which may contain errors, omissions, or delays.
THE SERVICE IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, TAX, OR REAL ESTATE ADVICE.
You are solely responsible for verifying all information independently and for any decisions or actions you take based on data obtained through the Service. We strongly recommend consulting with qualified professionals before making any investment decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAX PROPERTY INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY DATA OR INFORMATION OBTAINED THROUGH THE SERVICE, OR ANY INVESTMENT DECISIONS MADE IN RELIANCE ON SUCH DATA OR INFORMATION.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tax Property Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any investment decisions or actions you take based on data obtained through the Service.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, available at https://www.taxproperty.com/privacy. The Privacy Policy describes how we collect, use, store,
and share your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
15. Third-Party Services
The Service may integrate with or contain links to third-party services, including but not limited to Stripe for payment processing and Supabase for authentication. We are not responsible for the practices or content of these third-party services. Your use of third-party services is subject to their respective terms and privacy policies.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective Date" at the top of this document. We may also notify you via email or through the Service. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
17.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration conducted in Los Angeles County, California.
17.3 Class Action Waiver
YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
18. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tax Property Inc. regarding the Service and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
19.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
19.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms.
19.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, or failures of third-party services.
